Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between TD Service LLC, an Illinois limited liability company ("Company"), and the individual or entity identified as the signing contractor below ("Contractor"). By signing electronically through the TD Service LLC contractor portal, Contractor acknowledges they have read, understood, and agreed to be bound by every provision of this Agreement.

1. Independent Contractor Status

Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of Company. The parties intend and expressly agree that this relationship satisfies the criteria of an independent-contractor arrangement under IRS Revenue Ruling 87-41 (20-Factor Test), the Illinois Worker Misclassification Act (820 ILCS 185 — as applicable to the construction industry only, but used as guidance), the Illinois Department of Labor "ABC" precedent, and Illinois common law.

In particular, the parties agree:

• Contractor controls the means and method of performing the work — Company may specify the desired outcome but not the manner of execution.
• Contractor is free to accept or decline any job offered through the TD Service LLC platform without penalty.
• Contractor provides their own tools, equipment, vehicles, and supplies.
• Contractor is free to provide similar services to other parties, including direct competitors of Company, and to maintain their own clients.
• Contractor sets their own working hours and is not required to maintain any minimum availability.
• Contractor is responsible for all federal, state, and local income, self-employment, and other applicable taxes, including filing IRS Form 1040 Schedule C and Illinois Form IL-1040 with applicable schedules.
• Contractor will receive an IRS Form 1099-NEC from Company at year-end if cumulative payments equal or exceed $600 in a calendar year.

Illinois ABC-Test Safe-Harbor Acknowledgement. Although the Illinois Employee Classification Act (820 ILCS 185) by its terms applies to the construction industry, the parties choose to apply its "ABC" factors as the standard for this relationship to confirm independent-contractor status across all services Contractor performs. Contractor and Company each represent and acknowledge that:

• A — Direction & Control. Contractor is free from the direction and control of Company in the performance of the work, both under this Agreement and in fact. Company does not set Contractor's schedule, dictate the route or method of work, require uniforms, require exclusive availability, or impose performance reviews tied to employee-style discipline.
• B — Outside the Usual Course of Business. The services Contractor performs are field-execution of customer-requested jobs (hauling, lawn care, home services, scrap pickup, etc.), while Company's usual course of business is operating the marketplace platform that connects customers with independent service providers. Contractor is not performing work that is in itself the Company's usual core business.
• C — Independently Established Trade. Contractor is customarily engaged in an independently established trade, occupation, profession, or business of the same nature as the services performed. Contractor maintains their own tools, vehicle, and clientele; is free to advertise their own business; and may perform similar work for other parties (including Company's competitors) during and after this Agreement.

Contractor further acknowledges that classification as an independent contractor means: Contractor is not entitled to employee benefits including health insurance, paid time off, unemployment insurance, or workers' compensation coverage from Company; Contractor is responsible for their own income, self-employment, and Social Security/Medicare tax payments; and Contractor's relationship with Company may be terminated by either party at any time consistent with this Agreement.

2. Services & Job Acceptance

Company will post available service jobs ("Jobs") on the TD Service LLC platform. Contractor may, at Contractor's sole discretion, claim Jobs that match Contractor's skills, geographic radius, and availability. Once a Job is claimed, Contractor agrees to:

• Communicate clearly and promptly with the customer about scheduling, scope, and any changes.
• Perform the Job to a workmanlike standard consistent with industry norms.
• Use reasonable judgment to refuse or pause any Job that becomes unsafe, illegal, or outside Contractor's competence.
• Provide proof of completion via the platform's signature, photo, or other confirmation mechanism.

3. Compensation

For each completed Job, Contractor receives the full 72% of the post-sales-tax net amount, with no further deductions taken from Contractor's share. Company retains the remaining 28% as its marketplace fee and absorbs all operating costs (sweepstakes funding, charity pool, bills reserve, payment-processing costs) from its own share — Contractor is not asked to contribute to those pools.

Payment is processed through Contractor's chosen payout method (PayPal, Venmo, Cash App, or check) within Contractor's wallet on the platform. Contractor may request payout when the wallet balance reaches Contractor's chosen threshold. Contractor is responsible for any platform-side fees imposed by their chosen payment processor.

4. Tax Identification & W-9

Contractor agrees to provide a complete and accurate IRS Form W-9, including the Contractor's legal name, business name (if applicable), tax classification, address, and taxpayer identification number (SSN or EIN). Contractor agrees to update this information promptly if any of it changes.

5. Insurance & Liability

Contractor is solely responsible for maintaining any insurance, licenses, certifications, or bonds required to legally perform the services offered. Company strongly recommends that Contractor carry general liability insurance with a minimum of $300,000 per occurrence (or higher for high-risk services).

For services requiring an Illinois state license (plumbing, roofing, HVAC, electrical, pest control), Contractor must:

• Hold the required Illinois license, current and in good standing.
• Provide a copy of the license to Company through the platform's contractor-document upload before claiming any Job in that trade.
• Carry the insurance and bonding required by Illinois law for the licensed trade.

5A. Worker Safety Acknowledgement

Contractor has read the TD Service LLC Worker Safety Policy posted at /worker-safety.html and agrees to follow it on every Job. The Policy is incorporated by reference into this Agreement. Contractor specifically acknowledges:

• Right to refuse unsafe work. Contractor may stop or refuse any Job that presents an unsafe condition (active hazards, severe weather, hazardous materials, hostile customer, etc.) and will be paid the agreed minimum trip fee without penalty to Contractor's standing.
• Personal protective equipment. Contractor will use appropriate PPE (closed-toe boots, gloves, eye and hearing protection where applicable, high-visibility vest near roadways).
• Lifting and two-person rule. Items over 50 lbs require a second person or mechanical assist; items over 100 lbs require dispatch approval.
• Lone-worker check-in. Contractor will use the platform's arrival/completion check-in on solo Jobs.
• Weather stop-work thresholds. Contractor will pause outdoor work when conditions exceed the published thresholds (active lightning within 10 miles, sustained winds > 35 mph, heat index ≥ 100 °F without shade/water, wind chill ≤ 0 °F without warming breaks).
• Hazardous materials. Contractor will refuse to load or transport materials outside Company's published scope (asbestos, medical waste, live ammunition, pressurized tanks, etc.).
• Injury reporting. Contractor will report any on-the-job injury within 24 hours.
• No retaliation for safety reports. Company will not reduce Job assignments, ratings, or status for any good-faith safety concern raised by Contractor.

Contractor acknowledges that as an independent contractor, Contractor is not covered by Company's workers' compensation insurance and is responsible for Contractor's own health, accident, and disability coverage. Company will provide broker referrals for independent occupational accident policies on request.

5B. Background Check Authorization (FCRA)

Contractor has read the Background Check & FCRA Notice posted at /fcra-consent.html. By signing this Agreement, Contractor authorizes TD Service LLC to procure a consumer report from a third-party consumer reporting agency consisting of: identity verification, sex-offender registry check (national and Illinois), county and federal criminal records for the prior 7 years, and motor vehicle record (where Contractor's role involves driving customer property). Contractor acknowledges:

• Contractor has received the federal Summary of Your Rights Under the Fair Credit Reporting Act (15 U.S.C. § 1681), either as a printed handout, an emailed PDF, or via the link on the FCRA Notice page.
• Contractor may request a copy of the resulting report from the reporting agency.
• If the report would cause Company to decline or end the contracting relationship, Company will follow the FCRA two-step adverse-action process: a pre-adverse notice with a copy of the report and at least 5 business days to dispute, then a final adverse-action notice.
• Illinois Human Rights Act, Illinois Ban-the-Box rules, and the Cannabis Regulation and Tax Act limit what Company may consider; convictions are weighed only where they bear a substantial relationship to the role.
• Contractor may withdraw consent at any future re-screening; doing so will not retroactively undo work already performed and Contractor will not be otherwise penalized for withdrawing consent.

6. Customer Conduct & Cancellations

Customer no-shows and same-day cancellations may result in a 35% cancellation fee per Company's published policy. When that fee is collected, Contractor receives the same 72% share as if the Job had been performed, in recognition of the held availability.

7. Confidentiality & Customer Lists

Customer contact information, pricing, internal platform metrics, and business operations are confidential. Contractor agrees not to solicit Company's customers for off-platform work for a period of 6 months following the completion of any Job claimed through TD Service LLC. Contractor may continue to serve customers Contractor independently acquired before joining the platform.

8. Background & Conduct

Contractor represents that they:

• Are at least 18 years of age and legally permitted to work in the United States.
• Have no active warrants, restraining orders, or convictions that would create unreasonable risk to customers, particularly in residential settings.
• Will conduct themselves professionally at all customer interactions and will not consume alcohol, drugs, or other intoxicants while performing a Job.

9. Termination

Either party may terminate this Agreement at any time, with or without cause, by giving written notice (including notice through the platform). Upon termination, Contractor agrees to complete any Jobs already claimed and will be paid for them under the normal terms.

10. Dispute Resolution

Any dispute arising under this Agreement will be resolved by good-faith negotiation first. If unresolved within 30 days, the dispute will be submitted to binding arbitration in Peoria County, Illinois, under the rules of the American Arbitration Association (AAA). The prevailing party may recover reasonable attorney's fees.

11. Governing Law

This Agreement is governed by the laws of the State of Illinois without regard to its conflict-of-laws principles.

12. Modifications

Company may update this Agreement from time to time. Contractor will be notified by email and through the platform of any material change. Continued use of the platform after a change constitutes acceptance.
