This Independent Contractor Agreement ("Agreement") is entered into between TD Service LLC, an Illinois limited liability company ("Company"), and the individual or entity identified as the signing contractor below ("Contractor"). By signing electronically through the TD Service LLC contractor portal, Contractor acknowledges they have read, understood, and agreed to be bound by every provision of this Agreement.
Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of Company. The parties intend and expressly agree that this relationship satisfies the criteria of an independent-contractor arrangement under IRS Revenue Ruling 87-41 (20-Factor Test), the Illinois Worker Misclassification Act (820 ILCS 185 — as applicable to the construction industry only, but used as guidance), the Illinois Department of Labor "ABC" precedent, and Illinois common law.
In particular, the parties agree:
Illinois ABC-Test Safe-Harbor Acknowledgement. Although the Illinois Employee Classification Act (820 ILCS 185) by its terms applies to the construction industry, the parties choose to apply its "ABC" factors as the standard for this relationship to confirm independent-contractor status across all services Contractor performs. Contractor and Company each represent and acknowledge that:
Contractor further acknowledges that classification as an independent contractor means: Contractor is not entitled to employee benefits including health insurance, paid time off, unemployment insurance, or workers' compensation coverage from Company; Contractor is responsible for their own income, self-employment, and Social Security/Medicare tax payments; and Contractor's relationship with Company may be terminated by either party at any time consistent with this Agreement.
Company will post available service jobs ("Jobs") on the TD Service LLC platform. Contractor may, at Contractor's sole discretion, claim Jobs that match Contractor's skills, geographic radius, and availability. Once a Job is claimed, Contractor agrees to:
For each completed Job, Contractor receives the full 72% of the post-sales-tax net amount, with no further deductions taken from Contractor's share. Company retains the remaining 28% as its marketplace fee and absorbs all operating costs (sweepstakes funding, charity pool, bills reserve, payment-processing costs) from its own share — Contractor is not asked to contribute to those pools.
Payment is processed through Contractor's chosen payout method (PayPal, Venmo, Cash App, or check) within Contractor's wallet on the platform. Contractor may request payout when the wallet balance reaches Contractor's chosen threshold. Contractor is responsible for any platform-side fees imposed by their chosen payment processor.
Contractor agrees to provide a complete and accurate IRS Form W-9, including the Contractor's legal name, business name (if applicable), tax classification, address, and taxpayer identification number (SSN or EIN). Contractor agrees to update this information promptly if any of it changes.
Contractor is solely responsible for maintaining any insurance, licenses, certifications, or bonds required to legally perform the services offered. Company strongly recommends that Contractor carry general liability insurance with a minimum of $300,000 per occurrence (or higher for high-risk services).
For services requiring an Illinois state license (plumbing, roofing, HVAC, electrical, pest control), Contractor must:
Contractor has read the TD Service LLC Worker Safety Policy posted at /worker-safety.html and agrees to follow it on every Job. The Policy is incorporated by reference into this Agreement. Contractor specifically acknowledges:
Contractor acknowledges that as an independent contractor, Contractor is not covered by Company's workers' compensation insurance and is responsible for Contractor's own health, accident, and disability coverage. Company will provide broker referrals for independent occupational accident policies on request.
Contractor has read the Background Check & FCRA Notice posted at /fcra-consent.html. By signing this Agreement, Contractor authorizes TD Service LLC to procure a consumer report from a third-party consumer reporting agency consisting of: identity verification, sex-offender registry check (national and Illinois), county and federal criminal records for the prior 7 years, and motor vehicle record (where Contractor's role involves driving customer property). Contractor acknowledges:
Customer no-shows and same-day cancellations may result in a 35% cancellation fee per Company's published policy. When that fee is collected, Contractor receives the same 72% share as if the Job had been performed, in recognition of the held availability.
Customer contact information, pricing, internal platform metrics, and business operations are confidential. Contractor agrees not to solicit Company's customers for off-platform work for a period of 6 months following the completion of any Job claimed through TD Service LLC. Contractor may continue to serve customers Contractor independently acquired before joining the platform.
Contractor represents that they:
Either party may terminate this Agreement at any time, with or without cause, by giving written notice (including notice through the platform). Upon termination, Contractor agrees to complete any Jobs already claimed and will be paid for them under the normal terms.
Any dispute arising under this Agreement will be resolved by good-faith negotiation first. If unresolved within 30 days, the dispute will be submitted to binding arbitration in Peoria County, Illinois, under the rules of the American Arbitration Association (AAA). The prevailing party may recover reasonable attorney's fees.
This Agreement is governed by the laws of the State of Illinois without regard to its conflict-of-laws principles.
Company may update this Agreement from time to time. Contractor will be notified by email and through the platform of any material change. Continued use of the platform after a change constitutes acceptance.
By signing below, Contractor confirms they have read this Agreement, agree to be bound by all its terms, and have legal authority to enter into binding contracts.
The signature collection appears in the contractor portal at /contractor/agreement.php when this Agreement has not yet been signed. Contractor's name, signed date, version, and IP address are recorded permanently in the audit log.
